Terms governing access to Rega, prepaid company-formation services, third-party CSP delivery, and use of the Rega platform.

Terms of Service

1. About these Terms

These Terms of Service (the “Terms”) govern your access to and use of rega.global, the Rega application, and any related interfaces, APIs, CLI tools, communications, and services made available under the Rega name (together, “Rega”).

Rega is a technology platform operated by P.K.Z. Your Point Services Ltd, a company registered in Cyprus (“we”, “us”, or “our”). Rega is not a licensed corporate service provider (“CSP”). Company incorporation, registered-office, registered-agent, filing, compliance, and related regulated or jurisdiction-specific services are provided by appropriately licensed or authorised third-party CSPs in the jurisdictions they support.

By using Rega, creating an account, placing an order, or paying for a service, you agree to these Terms and any order form, quote, service description, or jurisdiction-specific terms presented to you before purchase. If there is a conflict, the more specific service or order terms apply to that service.

2. Eligibility and authority

You must have legal capacity to enter into a binding agreement. If you use Rega for a company, partnership, fund, trust, platform, or another organisation, you confirm that you are authorised to act for it and to provide information about its owners, directors, controllers, officers, authorised persons, and intended activities.

You must not use Rega where access to the platform or the requested service would breach applicable law, sanctions, export controls, professional restrictions, or the rules of a relevant CSP, bank, payment provider, registry, or public authority.

3. Rega’s role

Rega provides technology, workflow coordination, document and data collection, status tracking, communications, and access to supported third-party service providers. Depending on the service, Rega may help you compare available structures, request quotes, submit an incorporation package, coordinate questions, and receive documents or status updates.

Rega does not itself grant incorporations, issue licences, open bank accounts, approve financial products, or make decisions reserved for registries, CSPs, banks, exchanges, payment providers, regulators, or other third parties. A payment or completed application does not guarantee incorporation, account opening, licensing, product access, or completion within a particular timeframe.

4. Information and documents

You must provide complete, accurate, current, and non-misleading information. You must have a lawful basis and the necessary authority to provide personal data and documents relating to other people.

You agree to respond reasonably promptly to requests for clarifications, identity or address evidence, source-of-funds or source-of-wealth information, business activity details, ownership information, signatures, or other materials required by a CSP or another provider. Delays, incomplete information, adverse compliance findings, changes to your proposed activity, or third-party processing times may affect delivery.

We and participating providers may reject, pause, or cancel a request where required information is missing, the proposed activity is unsupported, a compliance concern is identified, or continuing would create legal, regulatory, sanctions, fraud, reputational, or operational risk.

5. Orders, prices, and payment

Prices, included services, government or registry fees, third-party charges, renewal costs, and taxes are shown in the applicable quote, checkout, order form, or service description. Unless expressly stated otherwise, future annual services, filings, penalties, banking charges, professional advice, translations, notarisation, legalisation, courier costs, and work outside the stated scope are not included.

Some incorporation services are prepaid because work, provider onboarding, document review, name checks, filing preparation, and third-party costs may begin shortly after an order is accepted. You authorise us and the relevant providers to begin the ordered work after payment and once required information is available.

6. Cancellations and refunds

Refund eligibility depends on the service, the order-specific terms shown before payment, the stage reached, work already performed, and third-party or government costs already committed or paid. Fees that have been earned through completed work, or irrecoverably paid or committed to a registry, CSP, registered agent, bank, professional adviser, verification provider, or other third party, may be non-refundable.

If a provider cannot proceed, we may request further information, propose an alternative supported route, apply an appropriate credit, or calculate any available refund after deducting completed work and non-recoverable costs, subject to the applicable order terms and mandatory law. Nothing in these Terms limits non-waivable consumer rights that apply to you.

7. Compliance and third-party decisions

CSPs and financial-service providers conduct their own onboarding, due diligence, KYC, KYB, sanctions, source-of-funds, risk, eligibility, and acceptance checks. Information collected during formation may be reused where lawful and permitted, but one provider’s review does not replace another provider’s obligations or guarantee its approval.

You must not use Rega to conceal beneficial ownership, evade tax or reporting duties, mislead a registry or provider, facilitate unlawful activity, breach sanctions, or create a false impression about a company’s status, permissions, substance, licensing, banking, or regulatory position.

General information, software outputs, comparisons, checklists, guides, and communications made available through Rega are provided for operational and informational purposes. They are not a substitute for advice tailored to your facts from qualified legal, tax, accounting, regulatory, investment, or other professional advisers.

You remain responsible for deciding whether a company, jurisdiction, ownership structure, licence, tax treatment, bank, or product is suitable for you.

9. Accounts, security, and acceptable use

You are responsible for safeguarding your credentials, API keys, devices, and authorised-user access. Notify us promptly if you suspect unauthorised access.

You must not interfere with Rega’s operation, bypass access controls, probe for vulnerabilities without written permission, introduce malicious code, scrape protected areas, reverse engineer restricted components except where law expressly permits it, or use the platform to infringe another person’s rights.

10. Intellectual property

Rega and its software, interfaces, workflows, designs, documentation, and brand materials are owned by us or our licensors. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use Rega for its intended purpose. You retain rights in information and materials you lawfully submit.

11. Availability and changes

We may update, improve, suspend, or discontinue parts of Rega. We do not promise uninterrupted or error-free availability. Planned maintenance, provider systems, registries, banks, verification services, internet infrastructure, and events outside our reasonable control may affect access or timing.

We may update these Terms. Material changes will apply from the stated effective date. Continued use after that date constitutes acceptance where permitted by law.

12. Disclaimers and responsibility

To the maximum extent permitted by law, Rega is provided on an “as available” basis. We are not responsible for decisions made independently by CSPs, registries, banks, regulators, payment providers, advisers, or other third parties, or for delays caused by inaccurate information, missing documents, compliance review, government processing, or events outside our reasonable control.

Nothing in these Terms excludes liability that cannot lawfully be excluded. Any additional limitations, service levels, remedies, dispute provisions, or liability terms stated in an order form or service-specific agreement form part of the agreement for that service.

13. Suspension and termination

You may stop using Rega at any time, subject to payment obligations and work already instructed. We may restrict or terminate access where you breach these Terms, fail to pay an amount due, create security or compliance risk, or where continued service would be unlawful or unavailable. Provisions that by their nature should continue after termination remain effective.

14. Governing terms and disputes

Mandatory law and any jurisdiction or dispute terms stated in your order form or service-specific agreement apply. Before starting formal proceedings, you and we agree to try to resolve the issue in good faith by contacting the other party with a clear description of the concern and requested resolution.
