Panama company registration, without the guesswork
Panama can support international holding, trading, and operating structures, but the right setup depends on where the business is managed, earns income, banks, and serves customers.
This is an editable draft covering the durable formation and compliance steps. Rega’s Panama service is coming soon; timing, price, and final package scope will be added before launch.
Why founders consider Panama
01
Company forms
Common structures include the Sociedad Anónima and limited-liability company. The best fit depends on ownership, governance, activity, and where the business is managed.
02
Resident agent
Common Panama entity forms require a resident agent who coordinates formation, keeps required information, and supports ongoing filings.
03
Public Registry
The entity obtains legal personality through registration with Panama’s Public Registry.
04
Beneficial ownership
Resident agents collect beneficial-ownership information for a private central registry available to designated authorities rather than the general public.
05
Annual maintenance
A registered company still has RUC and annual-maintenance duties even where it does not generate income or expenses in Panama.
What the setup generally involves
01
Choose the structure
Confirm the proposed activity, owners, directors, governance, operating countries, and intended banking relationships.
02
Complete due diligence
Prepare identity, address, ownership, business-activity, and source-of-funds information requested by the resident agent.
03
Register the company
Prepare the constitutional documents and register the legal person with Panama’s Public Registry.
04
Register for an RUC
DGI says legal persons must register within one month after Public Registry registration.
05
Confirm operating obligations
Check whether an operating notice, sector licence, payroll, tax registration, accounting, or other local step applies.
Documents
What to prepare
Expect identity and address evidence for owners, directors, controllers, and the legal representative, plus ownership, activity, and source-of-funds information requested during due diligence.
For RUC registration, DGI lists current identification for the legal representative and Public Registry evidence. Foreign documents must be apostilled and translated into Spanish by an authorized public translator when required.
After formation
Ongoing compliance
Keep the resident agent, Public Registry record, RUC details, accounting information, and beneficial-ownership information current.
Confirm the annual Tasa Única and any tax-return, licence, accounting, or reporting obligations for the company’s actual activities. Banking remains subject to each provider’s independent KYC, eligibility, and approval process.
